Please read these Terms and Conditions of Use ("Terms") carefully before using the services provided by TickeoMisp LLC, located at 4300 Ridgecrest Dr SE Ste L, 1127, Rio Rancho, NM 87124, United States, with official contact at [email protected] (hereinafter, "ZeroChats", "we" or "our").

These Terms constitute a legally binding agreement between you ("the user" or "you") and ZeroChats. By accessing, registering, or using any of our services, you agree to be legally bound by these Terms. If you do not agree with them, you must not access or use the services.

1. DEFINITION OF SERVICES

ZeroChats offers an AI-based SaaS platform that allows you to connect an Instagram profile through Meta's official API (Graph API) to automate conversations in direct messages (DMs) with followers and other users.

For the purposes of these Terms, the term "Services" includes:

  • The website https://zerochats.com,
  • The platform's web functionalities,
  • Any content, software, features, or tools offered,
  • Any electronic communication sent by ZeroChats.

Access to certain features may be subject to a paid subscription, as stipulated in the Payments and Refunds section.

2. ACCEPTANCE OF THE TERMS

2.1. By registering on the platform or using any part of the Services, you represent that you have read, understood, and accepted these Terms.

2.2. You also agree to our Privacy Policy, which is expressly incorporated into these Terms by reference. If you do not agree with any of these provisions, do not use our Services.

2.3. ZeroChats may modify these Terms at any time. We will notify you of any material changes via email or a notice within the platform. Continued use of the Services after such modifications implies your acceptance.

3. MINIMUM AGE AND ELIGIBILITY

3.1. To use ZeroChats, you must be at least 16 years of age.

3.2. If you reside in a jurisdiction where the legal age of majority is higher, you represent that you have authorization from your legal representative to use these Services.

3.3. ZeroChats reserves the right to suspend or delete any account if it has reason to believe it was created by a minor or in violation of these Terms.

4. IMPORTANT NOTICES AND SERVICE LIMITATIONS

ZeroChats uses artificial intelligence systems to automate conversations in direct messages for accounts connected via Instagram's official API. Responses generated by the platform are automated, may vary in tone, content, or accuracy, and are subject to the current technological limitations of artificial intelligence.

You acknowledge and agree that:

  • AI-generated responses do not constitute professional recommendations or personalized business advice.
  • You are solely responsible for the content delivered through your Instagram account, even if it was automatically generated by the system.
  • You are responsible for reviewing and supervising automated messages sent from your account.
  • ZeroChats does not guarantee specific results regarding sales, audience growth, or business performance.
  • The platform is an automated support tool that depends on the context of use, the quality of the user's content, and external business strategy.
  • ZeroChats is integrated with Instagram's official API through Meta for Developers. However, it is not affiliated with, sponsored, or endorsed by Meta Platforms Inc.
  • Any changes in usage policies, technical limitations, or temporary blocks imposed by Meta on the API could affect the operation of the Services beyond ZeroChats' control.
  • The ZeroChats website may contain links to third-party resources, articles, or tools. These are provided for informational reference only. We do not control or guarantee the availability, accuracy, or security of these external sites.

5. USER REGISTRATION AND ACCOUNT SECURITY

To use ZeroChats Services, you must register and create a user account on our website. During the registration process, you will be asked for accurate and current information.

You are solely responsible for maintaining the confidentiality of your access credentials. If you suspect that someone has accessed your account without authorization, you must notify [email protected] immediately.

By providing your contact details to ZeroChats, you expressly agree and authorize us to contact you by phone or message for the purpose of providing commercial information, support, follow-up, or assistance related to the Services.

By connecting your Instagram account to the platform, you authorize ZeroChats to generate and send automated messages on your behalf through DMs. You expressly agree that you are solely legally responsible for the content of those messages.

ZeroChats reserves the right to suspend or remove your access to the Services if suspicious, illegal, or Terms-violating activity is detected.

6. INTELLECTUAL PROPERTY AND DATA USE

All content on the ZeroChats platform is the exclusive property of TickeoMisp LLC or its licensors. You may not copy, distribute, modify, or reverse engineer the software.

ZeroChats grants a personal, limited, and non-transferable license to access the Services solely for legitimate business purposes related to your Instagram account.

By connecting your account, you authorize access to and storage of certain data necessary to provide the service: username, account ID, messages, followers, etc. This data is used only to automate and personalize the experience within the Services.

You may request deletion of your account and all associated data at any time, in accordance with our Privacy Policy.

7. PAYMENTS, RENEWALS, AND REFUNDS

ZeroChats offers monthly or annual subscription plans, with a 5-day free trial. At the end of this trial, charges will be made automatically via Stripe unless the user cancels in advance.

Payments are processed by Stripe and made securely. The user agrees that the subscription renews automatically unless it is manually canceled before the next period.

Purchases are non-refundable, except where required by law or due to a technical error attributable to the platform. Requests must be sent to [email protected].

Users in the European Union may withdraw from the contract within the first 14 days provided they have not begun using premium features.

8. RULES OF CONDUCT AND PERMITTED USE

The following are prohibited:

  • Using ZeroChats to send spam, misleading messages, offensive content, or content that violates Instagram policies.
  • Automating interactions from fake or unauthorized accounts.
  • Sharing sexual, violent, discriminatory, or illegal content.
  • Scraping, reverse engineering, or replicating the software.
  • Interfering with the security, operation, or availability of the service.

You are solely responsible for any AI-generated content from your account. Misuse may result in immediate suspension without refund.

9. INDEMNIFICATION, WARRANTY DISCLAIMER, AND LIMITATION OF LIABILITY

You agree to indemnify ZeroChats against any claim arising from misuse of the service or automated content generated from your account.

The Services are provided "as is," without warranties of uninterrupted operation, accuracy, or specific results.

ZeroChats' liability is limited, in any case, to the total amount paid by the user in the last 12 months or $50 USD, whichever is lower.

10. INTERNATIONAL USE, APPLICABLE LAW, AND DISPUTE RESOLUTION

ZeroChats operates under the laws of the State of New Mexico, United States. If you reside outside the U.S., you are responsible for complying with local laws.

Any dispute will preferably be resolved amicably. Otherwise:

  • Users outside the EU: binding arbitration in New Mexico, U.S.
  • Users in the EU: may go to courts in their country and/or use the ODR platform: https://ec.europa.eu/odr

11. MISCELLANEOUS AND CONTACT

These Terms constitute the entire agreement between you and ZeroChats. If any clause is deemed invalid, the remaining provisions will remain in force.

ZeroChats may assign this agreement to another entity without prior notice. All communications will be considered electronic and binding.
